TERMS OF SERVICE

1. AGREEMENT TO TERMS These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Techvista LLC (“Company”, “we”, “us”, or “our”), concerning your access to and use of the techvistallc.online website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”) and the development services provided by us.

2. INTELLECTUAL PROPERTY RIGHTS Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) are owned or controlled by us.

  • Project Deliverables: For custom web, software, or mobile application development services, all ownership rights, intellectual property rights, source code, and design assets remain the sole property of Techvista LLC until all outstanding invoices and final payments are cleared by the client. Upon 100% completion of payment, full intellectual property and ownership rights of the specific custom deliverable will be legally transferred to the client.

3. USER REPRESENTATIONS & SCOPE OF WORK By using our Services, you represent and warrant that all registration and project information you submit will be true, accurate, current, and complete.

  • Scope of Services: Techvista LLC will only be responsible for executing the exact tasks, features, and technical specifications agreed upon in the written project proposal, contract, or official email communication. Any additional feature requests, revisions, or scope expansions made during or after development will be subject to separate estimation and additional billing.

4. CLIENT RESPONSIBILITIES The client is responsible for providing all necessary assets, copy, logos, business text, API keys, hosting credentials, and timely feedback required for the development process. Techvista LLC is not responsible for any project delays, missed deadlines, or deployment issues arising from the client’s failure to provide required data or approvals in a timely manner.

5. FEES AND PAYMENT We accept major credit cards and electronic payments through our third-party merchant processor, Stripe. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site.

  • Payment Schedule: Development projects are typically billed on a milestone basis (e.g., upfront deposit, design approval milestone, development milestone, and final deployment milestone). Work on subsequent phases will not begin until the invoice for the previous milestone is cleared.

6. LIMITATION OF LIABILITY In no event will Techvista LLC or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the website or any software, applications, or websites developed by us, even if we have been advised of the possibility of such damages.

 

7. GOVERNING LAW These Terms of Service and your use of the Site and our services are governed by and construed in accordance with the laws of the State of Montana, United States, without regard to its conflict of law principles.
